a building facade with glass windows - Mergers & Acquisitions and Transactions

Having worked with numerous small- to middle-market companies for the past 70+ years during their transactional and M&A needs, Brady Ware’s team understands and helps owners strategize for each deal’s unique situations from the early stages through close.

Our approach covers all aspects of a deal and integrates our services where needed:

  • Financial Analysis | Assess the financial health, identify tax risks or potential issues, and help with valuation negotiations for the companies involved.
  • Due Diligence | Comprehensive due diligence and evaluation of the target company to help identify and mitigate risks, operational synergies or disparities through cost-benefit analyses, uncover potential legal or regulatory issues, and identify any tax-related considerations that could impact the deal. We often perform a comprehensive analysis of the target company’s financial statements, tax returns, internal controls, contracts, and significant agreements. This can help the acquiring company to identify any potential risks and opportunities associated with the transaction.
  • Quality of Earnings | Whether it is to help prepare for a sale, ensure key details of the company are documented for a potential buyer or can be leveraged as a forecasting tool for future business potential, a Quality of Earnings report takes a comprehensive and detailed look at a company’s financial performance.
  • Business Valuation | Through our affiliated company, BW Arpeggio, a valuation is performed to provide a thorough analysis of the target company’s assets, liabilities, earnings, cash flows, and market position. This can help the acquiring company to determine a fair purchase price and negotiate with the target company.
  • Tax Compliance | For the transaction itself, proper structuring will result in as tax-friendly position as legally allowed within the confines of the deal structure.
  • Post-Transaction Realities | For mergers, the integration of two entities is likely to be incredibly challenging. Efficiencies are needed in the accounting department to streamline operations and to improve or update financial reporting. Regardless of the transaction being a merger, buy or sell, navigating the complexities of the new tax situations is paramount. Planning for and understanding that in advance helps owners make informed decisions that not only lead to the success of the transaction but also for their new reality post-transaction. This entails analyzing the tax implications of the transaction and recommending appropriate holding structures or financing options. Specialized structuring including 382 Studies (382 Limitation Analysis) or 338 tax elections are also considered.
